Terms and Conditions
Last updated 7 October 2026
These Terms and Conditions ("Terms") govern access to and use of Fabrix operated by Apparatus ("we", "us"). By accessing the Service you agree to these Terms.
1. The Service
Fabrix provides an OpenAI-compatible Chat Completions API, organisation dashboard, prepaid billing in USD, usage tracking, and related controls. Access is provisioned by a Platform Admin — there is no public self-signup.
2. Accounts
- Each Organisation has a shared Organisation Login. Credentials must be kept confidential.
- You are responsible for all activity under your Organisation, Projects, and API Keys.
- We may suspend an Organisation for unpaid balances, abuse, security risk, or breach of these Terms. Suspended Organisations cannot run inference or Top-ups until restored.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights
- Attempt to probe, overload, or disrupt the Service
- Share API Keys outside your Organisation's authorised use
- Circumvent billing, rate limits, or model access controls
- Misrepresent affiliation with Apparatus or Fabrix
4. Billing and Top-ups
- Commercial Organisations maintain a prepaid Organisation Balance in USD. Inference is debited from that balance.
- Top-ups are one-time purchases of Top-up Packages paid via Razorpay. Successful payment (as confirmed by Razorpay webhook) credits the balance.
- Prices for Fabric Models and Top-up Packages are set by Platform Admins and may change prospectively.
- Invoices for successful Top-ups may be downloaded from the dashboard. Admin Credits and Adjustments do not generate invoices.
Refunds are described in our Refund Policy.
5. API and models
Clients request Fabric Model names only. Upstream provider identity is concealed. Availability of models depends on Model Access granted to your Organisation and upstream capacity. We do not guarantee unbroken availability.
6. Intellectual property
The Service, branding, and documentation remain property of Apparatus and its licensors. You retain rights to your prompts and application content, subject to licences needed to operate the Service (including sending prompts to upstream providers).
7. Disclaimer
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate or inappropriate; you are responsible for reviewing them before use.
8. Limitation of liability
To the fullest extent permitted by law, Apparatus is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our aggregate liability arising from the Service is limited to the amounts you paid us for Top-ups in the three months before the claim.
9. Changes
We may modify these Terms or the Service. Material changes will be reflected by updating the date above. Continued use after changes constitutes acceptance.
